DealPME

Terms of use

In case of discrepancy, the French version prevails. Version of 4 November 2026. By creating an account or by publishing a listing or a search, you accept these terms.

1. Role of DealPME

DealPME provides an online marketplace where sellers offer Swiss companies (SA, Sàrl (GmbH)), shells or active, and where buyers publish their searches. DealPME acts as an intermediary that brings parties together (brokerage, art. 412 et seq. CO). It is not a party to the contracts concluded between users, never collects the sale price and does not hold any third-party funds.

2. Accounts

Each user is responsible for the accuracy of their information and the confidentiality of their password. An account may be suspended in case of abusive, fraudulent or unlawful use. The "verified" badge only means that the company indicated by the user is listed as active in the UID register.

3. Obligations of sellers

  • Only offer companies they are entitled to sell (shareholder, partner or duly authorised representative).
  • Not offer any company without activity, without realisable assets and over-indebted, whose transfer would be void (art. 684a and 787a CO).
  • Declare the company's situation accurately and completely (equity, debts, debt-collection proceedings, disputes, VAT, bank account, figures of an active company).
  • Mark the listing as sold within 14 days of the sale and state the final price.

The seller is solely liable to the buyer for their declarations.

4. Review of listings

Before publication, DealPME automatically verifies the UID number in the Confederation's UID register, the absence of declared negative equity, the seller's declarations and, for a dormant shell, the presence of the latest balance sheet and of an extract from the debt-collection register. A listing that does not meet these criteria is not published. This review does not constitute a guarantee of the company's situation.

5. Obligations of buyers

The buyer carries out their own checks (commercial register extract, accounts, extract from the debt-collection register, tax situation) and has the transfer agreement reviewed by a professional. They use the information received solely to assess the acquisition.

6. Messaging

Messaging is used exclusively for exchanges relating to listings and searches. Unrelated solicitation, unlawful content and any attempted fraud are prohibited.

7. Fees and success fee

Using DealPME is free for buyers. Publishing listings is free. In the event of a sale, the seller owes DealPME a success fee calculated on the final sale price:

  • shell or shelf company: 10%, minimum CHF 300;
  • active company: 3%, minimum CHF 1,500.

Amounts are exclusive of VAT where applicable. The fee is due when the company is sold to a buyer with whom the seller was put in contact by DealPME (message, offer or contact arising from a listing or a search), including where the sale is concluded outside the platform within 12 months of the first contact. It is invoiced after the seller declares the sale or the buyer confirms the purchase, payable within 30 days. If the buyer confirms a purchase that the seller does not declare within 14 days, the fee is calculated on the price stated by the buyer or, failing that, on the listing price.

7a. Client requests and service providers

A visitor may send a request free of charge describing their need (ready-made company, company formation, domiciliation, director, trust, foundation, accounting, bank account, legal advice, relocation to Switzerland, sale of a company). DealPME forwards it to no more than three registered service providers, selected according to their services and canton. The client's contact details are only visible to a service provider once it has accepted the request.

Registration as a service provider and its profile in the directory are free. The first three accepted requests are free of charge. After that, each accepted request is invoiced according to the price list displayed on the "For professionals" page (CHF 39 to 149 excluding VAT depending on the service; the highest price applies if the request covers several services). A request that is declined or ignored is not invoiced. Invoicing is monthly, payable within 30 days.

Directory profiles may be created from public sources, in particular the official list of portfolio managers and trustees authorised by FINMA. The company concerned may claim its profile (verification by UID number), edit it or request its deletion at contact@dealpme.ch. DealPME itself does not provide any trustee, legal, tax or financial advisory services.

7b. Featured listings

The seller can feature a listing for 7 days (CHF 49) or 30 days (CHF 149), excluding VAT. The listing then appears at the top of the list with a badge. The amount is invoiced at the end of the month, even if the company is not sold.

8. Duration of listings

A listing remains online for 90 days. The seller is notified 7 days before expiry and can put it back online from their account.

9. Liability

To the extent permitted by law, DealPME is not liable for users' declarations, for transactions concluded between them or for their tax or legal consequences.

10. Applicable law

These terms are governed by Swiss law. Place of jurisdiction: Geneva.
